Terms of Service

1 · The Service

Frontberg is a subscription-based market-intelligence platform that provides research, structured event analysis, AlphaFlow causal signals, Brain Tech-generated narrative output, charting, watchlists, alerts, and the Floor (an in-product community channel). The Service is delivered via frontberg.com, native and embedded clients, and authenticated APIs.

Frontberg is not a broker, dealer, exchange, custodian, investment adviser, or money transmitter. We do not execute trades, route orders, hold client funds, or provide personalised recommendations within the meaning of MiFID II or any Cyprus investment-services legislation.

2 · Eligibility

By using the Service you confirm that you:

• are at least 18 years old and have legal capacity to contract;
• are not located in, ordinarily resident in, or accessing the Service from a jurisdiction subject to comprehensive sanctions imposed by the EU, the United Nations, the United Kingdom, Norway, or the United States (currently including, without limitation, Cuba, Iran, North Korea, Syria, the Crimea / Donetsk / Luhansk regions, and any jurisdiction added to applicable lists);
• are not on a sanctions, terrorism, or denied-parties list maintained by any of the foregoing authorities;
• will use the Service only for lawful purposes and in compliance with these Terms.

3 · Accounts & security

You are responsible for the credentials you use to access the Service and for any activity that occurs under your account. Notify us immediately at support@frontberg.com if you suspect unauthorised access. One account = one human; sharing seats outside the Floor Command tier is a breach of these Terms.

4 · Subscriptions, demo, and pricing

Frontberg offers four tiers, billed in Norwegian kroner (NOK):

• Demo — free, full-feature access for 7 calendar days from first sign-in. After day 7 the account locks until you upgrade. No card is required to start the demo.
• Starter — 499 NOK / month.
• Operator — 4 990 NOK / month.
• Floor Command — 14 900 NOK / month. Includes 5 seats and API access.

Prices are exclusive of VAT. Cyprus VAT (or the applicable EU VAT under the OSS scheme) will be added at checkout where required. We may change prices for new subscription periods on at least 30 days’ notice; existing subscriptions retain their current price until the next renewal.

5 · Billing, renewal & cancellation

Paid subscriptions are processed by Stripe in NOK and renew automatically every month on the same calendar day until cancelled. Cancelling stops the next renewal and preserves your access until the end of the current paid period. You can cancel at any time from your account settings or by emailing support@frontberg.com.

14-day right of withdrawal. If you are a consumer in the EU/EEA, you have the right under the EU Consumer Rights Directive (and the equivalent Cyprus implementing legislation) to withdraw from your initial subscription within 14 days of purchase by emailing us a clear statement of withdrawal. By starting to use the Service during the withdrawal window you authorise immediate performance; if you then withdraw we will refund you on a pro-rata basis for the unused portion of the period.

Service-outage refunds. In addition to statutory rights, if the core Service is unavailable for more than 24 continuous hours due to faults on our side, we will, on request, refund the affected days on a pro-rata basis. Outages caused by force majeure, your own infrastructure, or upstream third-party data providers are excluded.

We do not refund partial months outside these scenarios.

6 · No investment advice · risk warning

AlphaFlow signals, Brain Tech narratives, scorecards, and any output of the Service are research and analysis, not investment recommendations. Nothing in the Service constitutes a personal recommendation, solicitation, or offer to buy, sell, or hold any security, derivative, currency, or other financial instrument.

Trading and investing involve substantial risk, including the risk of total loss of capital. Past predictions, calibration scores, or scenario probabilities do not guarantee future results. You alone are responsible for evaluating whether any decision is appropriate for your circumstances and for executing that decision through your own broker.

7 · Data sources & accuracy

Market data is provided by FinancialModelingPrep under our commercial licence. News and event data come from RSS feeds (with attribution to the original publisher), the public GDELT dataset, and any Telegram channels you elect to monitor with your own credentials. We make reasonable efforts to ensure accuracy and timeliness, but we cannot warrant that data is complete, error-free, or fit for any specific purpose. The Service is provided “as is” and “as available”.

8 · Acceptable use

You agree not to:

• scrape, crawl, harvest, or otherwise extract data from the Service except via documented APIs and within their published rate limits;
• resell, sublicense, redistribute, or republish AlphaFlow signals, Brain Tech narratives, or other Service output to third parties without our written permission;
• share account credentials, run the Service through shared accounts, or circumvent seat limits;
• harass, threaten, dox, or use targeted abuse against other operators on the Floor or any other community channel; engage in market manipulation, pump-and-dump promotion, or coordinated misinformation;
• upload content that infringes intellectual property, contains malware, or breaches applicable law;
• probe, scan, stress-test, or otherwise interfere with the integrity of our infrastructure;
• use the Service to break securities, market-abuse, sanctions, AML, or tax laws.

9 · Intellectual property

Our IP.Frontberg, AlphaFlow, Brain Tech, the Service’s software, models, taxonomies, signal output, scorecards, designs, copy, and all related trademarks are owned by ERAQUA LTD or our licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service strictly in accordance with these Terms.

Your content. You retain ownership of content you post on the Floor, in notes, and in other user-generated areas. By posting, you grant us a worldwide, royalty-free, non-exclusive licence to host, display, transmit, back up, and process that content solely as needed to operate the Service. We may remove content that breaches these Terms.

10 · Suspension & termination

You may cancel your subscription at any time. We may suspend or terminate your account, with or without notice, if you breach these Terms, if your use creates a security or legal risk, or if we are required to do so by law. We will refund any unused, prepaid period following a termination that is not based on your breach. Sections that by their nature should survive (IP, disclaimers, limitation of liability, governing law) survive termination.

11 · Disclaimers

To the maximum extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that signal output will achieve any particular financial outcome. Nothing in this section limits liability that cannot be excluded under mandatory Cyprus or EU consumer law.

12 · Limitation of liability

To the maximum extent permitted by law, our aggregate liability to you for any and all claims arising out of or relating to the Service is capped at the total fees you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, nor for loss of profits, trading losses, lost opportunities, lost data, or reputational harm, even if we have been advised of the possibility. Mandatory consumer-law liabilities (including for gross negligence or wilful misconduct) are not excluded.

13 · Indemnity

You will indemnify and hold harmless ERAQUA LTD, its officers, employees, and agents from claims, losses, and reasonable legal fees arising out of (a) your breach of these Terms, (b) your unlawful use of the Service, or (c) content you upload or post.

14 · Changes to these Terms

We may update these Terms. Material changes will be announced at least 30 days in advance via an in-app banner and an email to your registered address. If you do not accept the changes, you may cancel your subscription before they take effect; continued use after the effective date constitutes acceptance.

15 · Governing law & jurisdiction

These Terms are governed by the laws of the Republic of Cyprus. Disputes arising out of or relating to these Terms or the Service are subject to the exclusive jurisdiction of the District Court of Limassol as the agreed venue of first instance, save where mandatory consumer-protection rules entitle you to bring proceedings in the courts of your home jurisdiction. Consumers are entitled to use the EU online dispute-resolution platform at ec.europa.eu/consumers/odr.
